1. Introduction / Overview:
These Terms of Service (“Terms”) govern your access to and use of the **Auriga ThriveX** program, including the content, online mentoring sessions, proprietary mobile application, and website (collectively, the “Service” or “Platform”).

2. Acceptance of Terms:
By clicking “I Agree,” creating an account, making a prepaid payment, accessing the online sessions, or otherwise using any part of the Service, you explicitly declare that you have read, understood, and agree to be legally bound by these Terms. If you do not agree to these Terms, you must immediately discontinue all use of the Service. Your continued use after any update to these Terms implies your acceptance of the revised Terms.
3. Eligibility & User Responsibilities:
The Auriga ThriveX program is designed for students, but enrollment and payment must be executed by a parent or legal guardian.
- Minimum Age: Users enrolling in and managing the account must be at least 18 years of age and possess the legal capacity to enter into a binding contract.
- Child’s Data Consent: By enrolling your child, you warrant that you are the parent or legal guardian and provide verifiable consent for us to collect and process your child’s data as outlined in the Privacy Policy.
- Account Maintenance: You are responsible for ensuring the accuracy of all registration and billing information and for promptly updating any changes. Impersonation of any person or entity is strictly prohibited.
4. Account Creation & Access:
- Access Right: Upon successful receipt of the prepaid program fees, you have the right to access and use the purchased services (the 40-week mentoring program curriculum, online sessions, and app access) for the defined program duration.
- Security: You are responsible for all activities that occur under your account. You must keep your password secure and confidential and immediately notify us of any unauthorized use or security breach of your account.
- Suspension: We reserve the right to suspend or terminate your account and access to the Service at any time if we suspect unauthorized access or any violation of these Terms.
5. Services Provided:
- Description: The Service is a **40-week structured offline & online mentoring program** focused on life skills, moral values, and independence for children. Services include weekly online mentoring, monthly offline sessions, daily micro tasks, and the proprietary mobile application.
- Online Format: All scheduled mentoring classes will be delivered online, with offline sessions scheduled separately as defined by the program.
- Modification: We reserve the right to modify, evolve, or discontinue any features, curriculum content, or service delivery mechanisms (e.g., changing the app interface or session platform) to improve the program (e.g., adding features like Brain Gym or Memory Techniques).
6. User Conduct and Obligations:
- Lawful Use: You agree to use the Service only for lawful purposes and in a manner that is respectful and non-abusive towards our mentors, staff, and other users.
- Prohibited Activities: You are prohibited from:
- Sharing your account access or course materials with unauthorized parties.
- Posting or transmitting any content that is illegal, defamatory, harassing, or violative of intellectual property rights.
- Hacking, scraping, or engaging in unauthorized data collection on our platform.
- Disrupting online classes or mentoring sessions with inappropriate or hostile behavior.
7. Intellectual Property Rights:
- Company Ownership: All content, curriculum (including the **16-Reel Blueprint**), methodology (ThriveX Method), trademarks, logos, software, and proprietary content (e.g., the app-based habit tracker) are the **exclusive property** of THRIVEX AURIGA PRIVATE LIMITED.
- Limited License: We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Service strictly for your child’s personal, non-commercial education for the program duration.
- Restrictions: You may not copy, reproduce, redistribute, modify, or create derivative works from any part of the Service content, curriculum (e.g., the Mindfulness Topics or Financial Literacy curriculum), or the mobile application.
8. Content Policy (User-Generated Content):
- User Responsibility: You are solely responsible for any content you upload, post, or share, including communication within the app or platform (e.g., submissions for the “photo proof system”). You retain ownership of your content but grant us a **non-exclusive, royalty-free license** to use that content for the purpose of operating, reviewing, and promoting the Service.
- Moderation Right: We reserve the right to monitor, review, remove, or block any user-generated content that violates these Terms or is deemed inappropriate, illegal, or abusive, without prior notice.
9. Payments, Subscriptions, and Billing:
- Pricing: All pricing is determined by the specific program tier and enrollment time. All services are sold on a **prepaid basis**.
- Refund Policy Integration: All refund and cancellation procedures are governed by the **Refund Policy (Section 15)**, which is hereby incorporated. By paying, you agree that your payment is non-refundable except under the two specific exceptions detailed in Section 15.
- Taxes: All stated prices are exclusive of any applicable taxes, duties, or government levies, which will be added to the final billed amount where required by law.
10. Third-Party Services:
- Disclosure: The Service may integrate with or contain links to third-party tools, such as payment gateways (for processing your prepayment) or external analytics tools (e.g., Google Analytics).
- No Liability: We are not responsible for the performance, reliability, or data handling practices of any third-party services. Your interaction with these services is governed by their respective terms and privacy policies.
11. Disclaimers:
The Auriga ThriveX program and its components (curriculum, app, sessions) are provided **“as-is”** and **“as available.”**
- No Guarantee: We do not guarantee that the Service will be uninterrupted, error-free, secure, or fit for a specific purpose beyond the scope of providing the life skills curriculum (e.g., Goal-Setting or Critical Thinking).
- Academic Outcome: We make **no guarantee** regarding specific academic outcomes or the total elimination of behavioral issues (e.g., Morning Chaos or Focus Crisis) as results are dependent on individual effort, circumstances, and parental involvement.
12. Limitation of Liability:
To the maximum extent permitted by law, THRIVEX AURIGA PRIVATE LIMITED, its founders (Nisha Soman, Renjitha Krishna, Dr. Swathigha Sudheer), and affiliates shall not be liable for any **indirect, incidental, punitive, or consequential damages** (including data loss or lost profits) arising out of your use of the Service. Our total liability to you for any claim arising out of these Terms shall not exceed the total amount you paid for the specific Service in the six (6) months preceding the claim.
13. Indemnification:
You agree to indemnify, defend, and hold harmless THRIVEX AURIGA PRIVATE LIMITED from any and all claims, liabilities, costs, and expenses (including legal fees) arising from your misuse of the Service, your breach of these Terms, or your violation of any law or the rights of a third party.
14. Termination / Suspension:
- By the Company: We may terminate or suspend your account immediately, without prior notice, if you breach these Terms (including non-payment or inappropriate conduct).
- Consequences: Upon termination, your license to use the Service immediately ceases, and you will lose access to the curriculum, online sessions, and your data stored on the app. **No refund will be provided** for services terminated due to a policy breach.
- By the User: You may voluntarily request account deletion by contacting us via the official email address.
15. Refund & Cancellation Policy:
All payments are subject to a **Zero-Tolerance Non-Refundable Policy**. Refunds will only be issued under the following two exclusive conditions:
- Company Failure to Deliver: If Auriga ThriveX fails to offer the agreed deliverables on time as stipulated in the program agreement (e.g., failure to provide the 40-week curriculum or access to weekly online sessions).
- Verified Accidental Payments (Mistransactions): If a user reports a genuine, verifiable mistransaction within 48 hours of the erroneous charge.
All other cancellations and refund requests are denied. This policy is subject to the detailed Auriga ThriveX Detailed Refund Policy document.
16. Governing Law & Jurisdiction:
These Terms shall be governed by and construed in accordance with the **laws of India**, without regard to its conflict of law principles. The courts in **Kozhikode, Kerala, India**, shall have exclusive jurisdiction over any disputes arising from or relating to these Terms.
17. Dispute Resolution:
Any dispute, controversy, or claim arising out of or relating to these Terms shall first be attempted to be resolved informally through our support contact. If an amicable resolution cannot be reached, the parties agree to pursue **binding arbitration** as a last resort before resorting to litigation.
18. Force Majeure:
We shall not be liable for any failure or delay in performance of the Service due to events beyond our reasonable control, including but not limited to acts of God, war, pandemic, governmental restrictions, or failures of public utilities.
19. Modifications to the Service:
We reserve the right to make non-material changes to the Service or features without liability. We will notify you of any **major changes** that significantly impact the Service or its cost via email or platform notification.
20. Communication & Notices:
You consent to receive all official communications and legal notices from us **electronically** (via email to your registered address or via notifications within the mobile application).
21. Severability & Entire Agreement:
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. These Terms, together with the incorporated policies, constitute the **entire agreement** between you and Auriga ThriveX.
22. Waiver:
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
23. Assignment:
We may assign our rights and obligations under these Terms to any affiliate, subsidiary, or successor entity **without your consent**. You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
